Terms of Service

KoinoScript is operated by Bareke Holdings LLC, a Texas limited liability company ("we", "us", "our"). These terms apply when you use KoinoScript.

KoinoScript provides software-as-a-service tools to record, upload, transcribe, translate, repurpose, and export spoken audio and video content using AI-assisted workflows.

You must be at least 18 years old to create an account. You are responsible for keeping your sign-in details confidential and for all activity under your account. Provide accurate information and tell us promptly about any unauthorized use.

You agree not to use KoinoScript to (a) upload content you do not own or have permission to process, (b) violate any law or third-party rights, (c) attempt to bypass usage limits, security controls, or rate limits, (d) generate harmful, harassing, or illegal content, or (e) reverse engineer the service.

Transcripts are produced by Deepgram's speech-to-text service. Cleanups, translations, and repurposed content are produced by Google Gemini models through the Lovable AI gateway. AI output may contain errors, omissions, or inaccuracies. Review it before you rely on, publish, or distribute it. We make no warranty of the factual accuracy, completeness, or fitness for a particular purpose of AI-generated material.

You keep ownership of the audio, video, transcripts, and other content you submit ("User Content"). You grant us a limited license to store, process, and transmit your User Content only to provide the service, which includes sending it to the service providers named in our Privacy Policy. Deepgram, our transcription provider, may keep the audio it receives and use it to improve its models (Privacy Policy, section 3). You confirm that you have the rights and consents needed for the User Content you upload and for this processing, including consent from any identifiable speakers.

Credits are a usage allowance for AI features in KoinoScript. They have no cash value, are not transferable or redeemable for cash, and cannot be used outside the app.

Paid plans are billed monthly in advance. KoinoScript is sold by Bareke Holdings LLC, and payments are processed by Stripe. Applicable sales tax is added at checkout. By subscribing, you authorize recurring charges to your payment method until you cancel.

Each paid plan includes a monthly allowance of KoinoScript Credits, used as described on our pricing page. A paid plan's credits renew at the start of each billing period, and unused credits don't carry over. The Free Trial's 50 credits are given once, when you sign up, and don't renew. When a task starts, the credits it needs are set aside, and they are returned if the task fails. A transcription in which no speech is found is not charged. A transcription starts only when your balance covers the whole file. If a file turns out to be longer than it first appeared, the transcript covers only the length that was set aside, and you are told. Text too long to process in one go is refused before anything is charged, and never cut short.

Prices, features, and credit costs are shown on our pricing page and may change with reasonable notice.

Plan switching is not available during the beta. To change plans, cancel at the end of the current paid period, then subscribe to your chosen plan after it ends.

You can cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period, and your access continues until then. Your account then moves to the Free plan, without new trial credits. Refunds are covered by our Refund Policy.

KoinoScript, including its software, brand, designs, and documentation, is owned by us and protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the service in accordance with these terms.

To the maximum extent permitted by law, we and our providers are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits. Our total liability for any claim arising out of the service is limited to the amount you paid us in the 12 months before the claim.

We may suspend or close an account that breaks these terms, abuses the service, or is not paid for.

You can close your account at any time by emailing hello@koinoscript.com from the address on the account. A paid subscription is canceled when the account is closed, and a refund for the period already paid follows our Refund Policy. To keep your paid access until the end of the period, cancel from the billing portal first and ask us to close the account once the period has ended.

Within 30 days of an account's closure, we delete the account and its content, as our Privacy Policy describes, with what we keep after that.

We may update these terms from time to time. We will tell you about material changes by email or in the app. Continuing to use the service after a change takes effect means you accept it.

These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. If you use KoinoScript as a consumer, this doesn't take away the protection of the mandatory laws of the place where you live.
